1. Parties
In these terms “our” and “we” mean the British Council incorporated by Royal Charter and registered as a charity (under number 209131 in England and Wales and number SCO37733 in Scotland), with its principal office at 10 Spring Gardens, London, SW1A 2BN (‘British Council’) and “you” and “your” means the organisation and/or person that is part of the official UK/Nigeria 2015–16 programme.
2. Description of the Design Assets and applicability of these terms
The British Council is providing you with information and assets, including branding, logos/title marks and visual identity guidelines (the “Design Assets”) relating to the UK/Nigeria 2015–16 programme. These are the terms which apply to your use of the Design Assets and/or any element of the Design Assets.
3. Use of the Design Assets
British Council hereby grants to you a non-exclusive, revocable licence subject to and in accordance with these terms and the visual identity guidelines included in the Design Assets, to use the Design Assets strictly for the purpose and the time of your participation in the official UK/Nigeria 2015–16 programme.
You agree that you will make no charge for use of the Design Assets and/or any element of it to any other party.
By downloading, installing and/or using the Design Assets you agree to abide by the following:
- you warrant that you are part of the official UK/Nigeria 2015–16 programme.
- you agree to use the Design Assets for the purposes of promoting the UK/Nigeria 2015–16 programme in accordance with the visual identity guidelines included in the Design Assets only.
- you agree to delete the Design Assets from your computer system by 30 April 2016.
If you do not agree to these terms, do not download, install or use the Design Assets. If you wish to use the Design Assets for any other purpose, please contact the British Council for written consent.
4. No assignment
You may not sell, lease, sub-license or assign your licence to use the Design Assets to any third party without written permission from the British Council.
5. Intellectual property rights
I. It is clear that nothing in these terms shall be construed as transferring any intellectual property rights to you other than the licence to use the Design Assets in accordance with these outlined terms.
II. You agree not to copy or reverse engineer any elements of the Design Assets, not to attempt to access the source code or modify or attempt to modify any part of the Design Assets in any way. You further agree not use the Design Assets to create a derivative piece of work, rewrite, edit or in any other way alter the Design Assets and will not to attempt to run elements of the Design Assets through other applications.
6. Termination
I. The British Council may terminate your use of the Design Assets immediately, without notice if you should be in material breach of these terms and have failed to remedy such breach within 7 days of receipt of notice in writing from the British Council specifying the breach and requiring its remedy,
II. The British Council may at its convenience and without any need to have any reason to do so terminate your use of the Design Assets and close the website by giving not less than 30 days notice.
7. Disclaimers
The Design Assets are made available strictly on the basis that you accept them on an ‘as is’ and ‘as available’ basis. Access may be temporarily suspended, hindered or restricted at any time without notice to you. You agree that no communications received from the British Council will create any warranty not expressly included in these terms.
Where you rely on the Design Assets, you do so entirely at your own risk and you accept that all warranties, conditions and undertakings, express or implied, whether by common law, statute, trade usage, course of dealings or otherwise are excluded to the fullest extent permitted by law.
The British Council does not warrant that any elements of the Design Assets are free from viruses or other unintended content or anything which may have a harmful or undesirable effect on any technology or property.
8. Limitation of liability
British Council and all subsidiary entities of the British Council, and each of their respective officers, directors, shareholders, employees, representatives and agents, exclude all liability for any costs, expenses, loss or damage (whether direct, indirect or consequential and whether economic or other) arising from your exercise of the rights granted to you under these terms to the fullest extent permitted by law.
You shall indemnify the British Council against all liabilities, costs, expenses, damages or losses (including any direct or indirect consequential losses, loss of profit, loss of reputation and all interest, penalties and legal and other professional costs and expenses) (each a “Claim”) suffered or incurred by the British Council arising out of or in connection with your rights granted under these terms.
Nothing in these terms shall have the effect of excluding or limiting any liability for death or personal injury caused by negligence or for fraud.
The British Council is not responsible for any breach of these terms caused by circumstances beyond its reasonable control.
9. General
These terms and any dispute or claim (including any non-contractual dispute or claim) arising out of or in connection with it or its subject matter, shall be governed by, and construed in accordance with, the laws of England and Wales.
